End-User
Licence Agreement
LeadXpress
and its publisher (BD International) hereby grants you (as
a purchaser) a non-exclusive and non-transferable license
to use the Global Buyer Directory CD-Rom, its Databases,
Software and Documentation (all these latter referred as
the 'CD-Rom' or 'Product' ) for the purpose of purchaser's
promotion and own reference. This Product is licensed as
a single product and may not be used by more than one user.
The
CD-Rom are licensed, not sold, to you. LeadXpress and its
publisher retain all right, title and interest in and to
the CD-Rom including, without limitation, all intellectual
property rights relating to or embodied in the CD-Rom.
You
may not reproduce, store in a retrieval system, or transmit
by any means, electronic, mechanical, photo-copying, recording
any part of this CD-Rom, or transfer any contents in the
CD-Rom in any other form to a third party, without written
permission from LeadXpress and its publisher.
You
may not remove from the CD-Rom or alter or add to its copyright,
trademark and other proprietary rights notices contained
in the CD-Rom. You may not reverse engineer, decompile,
or disassemble the Software contained in the CD-Rom.
You
may not use this CD-Rom to send spam email. Spam email is
the unsolicited mass distribution of non-targeted messages
via email. We encourage users of our CD-Rom Directory to
exercise discretion when sending emails to prospective customers.
You
agree to use the CD-Rom in compliance with all applicable
laws and regulations including all laws governing the export
or re-export of the CD-Rom. You agree to indemnify LeadXpress
and its publisher from and against your violation of any
such laws or regulations.
LeadXpress
and its publisher may terminate your usage licence if you
fail to comply with the terms and conditions of this End-User
Licence Agreement. In such event, you must destroy all copies
of the CD-Rom held by you.
THE
PRODUCT IS PROVIDED ON AN "AS IS"
BASIS, WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED OR
STATUTORY INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES
OF MERCHANTABILITY, NONINFRINGEMENT OR FITNESS FOR PARTICULAR
USE OR PURPOSE.
IN
NO EVENT SHALL LEADXPRESS OR ITS PUBLISHER OR ITS SUPPLIERS
OR RESELLERS BE LIABLE TO YOU OR ANY OTHER PERSON FOR ANY
INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES
OF ANY KIND INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS
OF PROFITS OR DATA, ARISING OUT OF THIS AGREEMENT OR USE
OF THE CD-ROM. IN NO EVENT WILL LEADXPRESS AND ITS PUBLISHER
BE LIABLE FOR (a) ANY DAMAGES IN EXCESS OF THE AMOUNT LEADXPRESS
RECEIVED FROM YOU FOR A LICENSE TO THE CD-ROM, EVEN IF LEADXPRESS
AND ITS PUBLISHER HAS BEEN ADVISED OF THE POSSIBILITY OF
SUCH DAMAGES AND NOTWITHSTANDING THE FAILURE OF ESSENTIAL
PURPOSE OF ANY REMEDY, OR (b) FOR ANY CLAIM BY ANY THIRD
PARTY.
This
Agreement shall be governed by the laws of Hong Kong. If
any provision of this Agreement is held to be unenforceable,
such provision shall be reformed only to the extent necessary
to make it enforceable. This Agreement may only be modified
in writing signed by both parties.
